QMMM Holdings announced that it received a notice from Nasdaq stating that the company is not in compliance with Nasdaq Listing Rule 5250 because the company has not yet filed its annual report on Form 20-F for the fiscal year ended September 30, 2025.

The Securities and Exchange Commission announced the temporary suspension of trading in the securities of QMMM Holdings. "The Commission temporarily suspended trading in the securities of QMMM because of potential manipulation in the securities of QMMM effectuated through recommendations, made to investors by unknown persons via social media to purchase the securities of QMMM, which appear to be designed to artificially inflate the price and volume of the securities of QMMM," the agency said in a statement. The suspension terminates at 11:59 PM ET on October 10.

QMMM announced its strategic entry into the cryptocurrency sector. This expansion integrates artificial intelligence and blockchain technology to create next-generation cryptocurrency analytics and a crypto-autonomous ecosystem. QMMM aims to connect data providers and consumers through a decentralized data marketplace powered by blockchain. Leveraging AI-driven analytics, the platform will be designed to process large volumes of data to assist traders in making informed investment decisions. Beyond trading, the ecosystem will support automated agents capable of answering user queries, managing DAO treasuries, enhancing metaverse experiences, detecting vulnerabilities in smart contracts, and assisting in code development. In tandem with this initiative, QMMM plans to establish a diversified cryptocurrency treasury initially targeting Bitcoin, Ethereum, and Solana. The treasury, which is expected to reach an initial scale of $100M, will serve as a foundation for both stability and transparency. Investment allocations will focus on: High-quality cryptocurrency assets with long-term growth potential; Web3 ecosystem infrastructure projects; Global premium equity assets aligned with QMMM's strategic vision.

QMMM Holdings announced that on February 26, the Company received a letter from the Listing Qualifications staff of The Nasdaq Stock Market notifying the Company that based on the closing bid price of the Company for the period from January 8 to February 25, the Company no longer meets the continued listing requirement of Nasdaq under Nasdaq Listing Rules 5550(a)(2), to maintain a minimum bid price of $1 per share. Nasdaq has provided the Company with an 180 calendar days compliance period, or until August 25, 2025, in which to regain compliance with Nasdaq continued listing requirement. In the event that the Company does not regain compliance in the compliance period, the Company may be eligible for an additional 180 calendar days, should the Company meet the continued listing requirement for market value of publicly held shares and all other initial listing standards for The Nasdaq Capital Market, with the exception of the bid price requirement, and is able to provide written notice of its intention to cure the deficiency during the second compliance period, by effecting a reverse stock split, if necessary. However, if it appears that the Company will not be able to cure the deficiency, or if the Company is otherwise not eligible, Nasdaq will provide notice that the Company's securities will be subject to delisting. The Company is currently evaluating options to regain compliance and intends to timely regain compliance with Nasdaq's continued listing requirement.
