3. OWNERSHIP OF INFORMATION; LICENSE TO USE INTELLECTIA.AI; REDISTRIBUTION OF DATA

All rights, titles, and interests in Intellectia.AI and all information provided through Intellectia.AI or our services, in all languages, formats, and media worldwide, including copyrights and trademarks, are the exclusive property of Intellectia.AI, our affiliates, or our Data Providers, unless stated otherwise.

Intellectia.AI aims to provide a secure and accessible platform for displaying market data, charts, news, and other financial information. Users are strictly prohibited from using any automated data collection methods, such as scripts, APIs, screen scraping, data mining, robots, or other tools, for any purpose. Any technology used to bypass protective measures against unauthorized reproduction or distribution of Intellectia.AI content is strictly forbidden.

The content on Intellectia.AI, including market data and other information, is intended for display purposes only within the website's or mobile app's user interface. Our agreements with Data Providers do not allow for the downloading, sublicensing, assigning, transferring, selling, loaning, or distribution of Intellectia.AI content for payment without prior written consent from Intellectia.AI. Except as expressly allowed in the previous paragraphs, you agree not to sell any of the services or materials in any manner or for any purposes without the prior written consent of Intellectia.AI and/or our Data Providers. Additionally, without the prior written consent of Intellectia.AI and the relevant Data Providers, you shall not make copies of any software or documentation provided, electronically or otherwise, including but not limited to translating, decompiling, disassembling, or creating derivative works.

Commercial use of any of our services is not permitted except as expressly allowed by an additional agreement. We make no warranty and assume no obligation or liability for third-party services or software.

4. MEETING RELATED RULE OF CONDUCT

You accept full responsibility for any content you or others you record contribute as Customer Data (as defined later). By recording or uploading to Intellectia any materials, recordings, videos, pictures, or files ("Customer Data"), you confirm and guarantee that Intellectia's processing of such Customer Data complies with all laws and regulations and that you will not upload, transmit, or contribute any content that:

Is slanderous, lewd, indecent, abusive, offensive, threatening, intolerant, or otherwise unacceptable;
Encourages explicit sexual content, violence, or prejudice based on race, gender, religion, nationality, disability, sexual orientation, or age;
Violates any patents, trademarks, trade secrets, copyrights, or other proprietary rights of any party;
Reveals private information of another individual or company;
Breaches any person's rights (including rights to publicity and privacy) and could lead to civil or criminal liability under the law, or that might conflict with these Terms and our Privacy Policy;
Promotes unlawful activities, or supports, incites, or helps any illegal acts;
Causes disruption, unnecessary worry, or is likely to perturb, embarrass, alert, or irritate any other individual;
Includes viruses, malware, spyware, or other harmful content or code, or otherwise contravenes this Agreement.

Intellectia offers a service feature that enables the recording of individual dialogues and/or the uploading of such recordings. Legal requirements for notice and consent regarding the recording of conversations vary by location. In some areas, recording others without their express written consent is illegal. You must comply with all relevant international, federal, and local laws when using this feature, which includes informing meeting participants of the recording in progress. Our services must not be used for illicit activities under any circumstances.

Your use of the Services is at your own risk and discretion and you agree to be solely responsible for your Customer Data and for any recording, submitting, and posting of Customer Data on or through the Services.

5. ATTRIBUTION

Intellectia.AI permits all users of intellectia.ai and all other versions of the site to use snapshots of Intellectia.AI chats in analysis, press releases, books, articles, blog posts, and other publications. Additionally, Intellectia.AI allows the use of all previously mentioned materials in educational sessions and the display of Intellectia.AI chats during video broadcasts, including overviews, news, analytics, and other promotions of Intellectia.AI chats or products from the Intellectia.AI website, provided that Intellectia.AI attribution is clearly visible at all times when such chats and products are used.

Attribution must include a reference to Intellectia.AI, not limited to those described herein. When Intellectia.AI chats are used in video or other promotions where Intellectia.AI attribution is not visible, a description of the product used must be included, such as: "Chats platform used for this analysis is provided by Intellectia.AI," or simply "Chats by Intellectia.AI." The font size for attribution should not be less than 10 PT = 13PX = 3.4MM.

Users can utilize the "Share Chat" button to instantly create a picture file of their current chat. Intellectia.AI will automatically take a snapshot with all required attributions and provide a link for viewing, downloading, or sharing the chat. The use of any Intellectia.AI products outside the Intellectia.AI website without proper attribution is not permitted. This also applies to any tools (such as widgets) obtained from the Intellectia.AI website and used on external resources, where attribution should remain as originally designed and intended.

Users who violate this attribution rule may be permanently banned, and legal actions may be taken to ensure compliance, including cease-and-desist warnings, court orders, injunctions, fines, damages relief, and more.

6. THIRD PARTY SITES AND ADVERTISERS

Intellectia.AI may contain links to third-party websites, some of which might have objectionable, unlawful, or inaccurate content. You acknowledge that Intellectia.AI is not responsible for any trading or other activities that occur on any website accessed through links on Intellectia.AI. These links are provided for convenience only, and we do not endorse the content or services of these external sites. Any interactions you have with advertisers on Intellectia.AI are solely between you and the advertiser, and you agree that we are not liable for any loss or claim you may have against an advertiser.

Unauthorized solicitation on Intellectia.AI is strictly prohibited and may result in penalties, including temporary or permanent account bans and any appropriate legal action for monetary and other damages.

7. DISCLAIMER OF WARRANTIES

The Intellectia.AI website and services, along with all information, content, materials, and products provided through this website and services, are offered by Intellectia.AI on an "as is" and "as available" basis. Intellectia.AI does not make any representations or warranties, express or implied, including but not limited to the accuracy, reliability, currency, completeness, or suitability of any information available through our services or on Intellectia.AI for your needs. Intellectia.AI does not guarantee that your use of the service will be uninterrupted or error-free, and you acknowledge that Intellectia.AI may occasionally remove the service for indefinite periods or cancel the service in accordance with these Terms of Use. Intellectia.AI does not claim that the service will be free from loss, corruption, attack, viruses, interference, hacking, or other security breaches, and disclaims any liability related to such issues. Any material downloaded or otherwise obtained through the use of the service is done at your own discretion and risk, and you are solely responsible for any damage or loss resulting from the download or use of such material.

Various information provided through our services or on Intellectia.AI may be obtained from professional businesses or organizations, such as exchanges, news providers, market data providers, and other content providers, who are believed to be reliable sources (collectively, "Data Providers"). However, due to factors including human and mechanical errors, the accuracy, completeness, timeliness, results obtained from use, and correct sequencing of information available through our services and website cannot be guaranteed by Intellectia.AI. We also make no warranty and assume no obligation or liability for scripts, indicators, ideas, and other third-party content. Your use of any third-party scripts, indicators, ideas, and other content is at your sole risk.

8. DISCLAIMER REGARDING INVESTMENT DECISIONS AND TRADING

9. REGISTERED USERS

Certain services on the Intellectia.AI website, such as chats, sharing them, or commenting on the Community, are exclusively available to registered users and require you to sign in with a username and password. If you register as a user (a "Subscriber") of any Intellectia.AI features, you may be asked to click "Register Now," "Submit," or a similar button during the registration process; clicking such a button will further confirm your agreement to be legally bound by these Terms of Use.

By using the Intellectia.AI website, you represent that you are of legal age to form a binding contract and are not prohibited from receiving Intellectia.AI services under the laws of the United States or other applicable jurisdictions. You also agree to promptly update your registration data to keep it true, accurate, current, and complete. If you provide any information that is untrue, inaccurate, not current, or incomplete, or if Intellectia.AI has reasonable grounds to suspect that such information is untrue, inaccurate, not current, or incomplete, Intellectia.AI has the right to suspend or terminate your account and refuse any and all current or future use of the Intellectia.AI services (or any portion thereof).

You represent and warrant that you have all intellectual property rights, including all necessary patent, trademark, trade secret, copyright, or other proprietary rights, in and to your content. If you use third-party materials, you represent and warrant that you have the right to distribute those materials in your content. You agree not to submit material that is copyrighted, protected by trade secret, or otherwise subject to third-party proprietary rights, including patent, privacy, and publicity rights unless you are the owner of such rights or have permission from their rightful owner to submit the material.

Intellectia.AI may remove your content without notice if we reasonably believe that you are in violation of our Terms of Use.

10. ACCESS AND SECURITY

You are responsible for maintaining the confidentiality of your username, email address, and password used to register for access to and use of our services. You are accountable for all activities that occur under your account. Intellectia.AI is not liable for any loss or damage resulting from your failure to safeguard your account information. You agree to (a) promptly notify Intellectia.AI of any unauthorized use of your account or any other breach of security, and (b) ensure that you log out from your account at the end of each session. Intellectia.AI will not be responsible for any loss or damage arising from your non-compliance with these security measures.

11. PAYMENT AND CANCELLATION OF SERVICE

By subscribing to any plan on https://intellectia.ai (including free trials), you acknowledge that you have read and accepted our Terms of Use and authorize Intellectia.AI to automatically charge your bank card or Stripe account according to the selected billing period.
Users can try selected paid plans for 14 days free of charge. If the trial is not canceled before its expiration, it automatically converts to a monthly or annual paid plan, depending on the user's choice. There are no refunds for monthly plans, even if the subscription is canceled on the same day as the autoconversion payment. Refunds are available only for annual payments within 14 calendar days after the payment was made, except for users who filed a chargeback/dispute request or a claim. Canceled trials and associated services will stop immediately after cancellation.
The service is billed in advance on a monthly or annual basis. There are no refunds or credits for partial months of service or for months unused with an open account. If auto-renewal fails for an annual plan, you will automatically be switched to a monthly plan.
Billing is recurring, meaning you will continue to be billed until you cancel your subscription. You are responsible for properly canceling your Intellectia.AI subscription. An email request or support ticket is not considered cancellation. You can cancel your subscription at any time by visiting the billing section of your Profile Subscription page.
If you cancel the service before the end of your current paid-up period, your subscription will remain active until the next due date. If no payment is received after the due date, your subscription will be stopped.
We do not offer refunds for initial payments. Please ensure your order is correct before making the payment.
We do not offer refunds for recurring monthly payments. You can cancel the subscription to avoid billing for future months.
We offer refunds for recurring annual payments on demand within 14 calendar days after the payment was made. If you do not contact our support team within this period, Intellectia.AI assumes that renewal of the service is expected, and the payment will not be refunded.

12. FEEDBACK TO INTELLECTIA

When you submit ideas, content, suggestions, documents, and/or proposals ("Contributions") to Intellectia via our product or feedback webpages, you agree that: (a) your Contributions do not contain confidential or proprietary information; (b) Intellectia has no obligation of confidentiality, expressed or implied, regarding the Contributions; (c) Intellectia is free to use or disclose (or choose not to use or disclose) such Contributions for any purpose, in any manner, in any media worldwide; (d) Intellectia may already have something similar to the Contributions under consideration or in development; (e) your Contributions automatically become the property of Intellectia, without any obligation of Intellectia to you; and (f) you are not entitled to any compensation or reimbursement of any kind from Intellectia under any circumstances.

13. INDEMNIFICATION

You agree to indemnify and hold Intellectia and our subsidiaries, affiliates, officers, agents, employees, partners, and licensors harmless from any claims, demands, or damages, including reasonable attorneys' fees, made by any third party due to or arising out of content you submit, post, transmit, modify or otherwise make available through the Intellectia services; your use of the Intellectia service; your connection to the Intellectia services; your violation of the Terms of Use; your violation of any rights of another; or any action taken by Intellectia, acting reasonably, as part of its investigation of a suspected violation of this Terms of Use or as a result of its finding or decision that a violation of this Terms of Use has occurred. This obligation shall survive the termination or expiration of your use of the service.

If you have a dispute with one or more users of Intellectia, you agree to release Intellectia from any and all claims, demands, and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with such disputes.

14. TERMINATION

You may request the deletion of your account from Intellectia at any time by visiting your Profile Settings page. Upon your request, we will delete the personal data associated with your account. However, certain personal data may be retained if it has been integrated into data essential to our systems and site, including data in communications you have sent via our site. This data is retained for the integrity of the site's data and our legitimate business purposes, such as auditing and security (please refer to our Privacy Policy for more information). Your published Contributions may remain on the site at our discretion. Once a Contribution has been published, it becomes part of the communal trading knowledge and is intended to remain as such. This policy aims to maintain transparency and public confidence in the site's reputation and integrity.

Intellectia may, without prior notice, immediately terminate, limit your access to, or suspend your Intellectia account, any associated email address, and access to the Intellectia services. Causes for such actions include, but are not limited to, breaches or violations of the Terms of Use or other agreements, requests by law enforcement or other government agencies, discontinuation or significant modification of the Intellectia services, technical or security issues, extended periods of inactivity, and engagement in fraudulent or illegal activities. All terminations, limitations of access, and suspensions are at Intellectia's sole discretion, and Intellectia shall not be liable to you or any third party for any termination of your account, associated email address, or access to the Intellectia services.

15. EMAILS

By creating an account with Intellectia, you consent to Intellectia using your email address to send you marketing materials, service-related notices, important information messages, special offers, and other communications. You have the option to unsubscribe from these emails at any time by clicking on the unsubscribe link provided in the emails.

16. THIRD PARTY SOFTWARE

Our software, website, and/or services may incorporate software components provided by third parties, used under the terms granted by the respective licensors and/or copyright holders ("Third Party Software"). Intellectia explicitly disclaims any warranty or assurance to you regarding Third Party Software. It is important to note that your use of Third Party Software will be governed by the terms and conditions of use and privacy policies of the Third Party Software providers, and not by these Terms of Use or our Privacy Policy.

17. PUBLICATIONS - NO RECOMMENDATION OR ADVICE STATUS

The information and publications provided are not intended to be, and do not constitute, financial, investment, trading, or other types of advice or recommendations supplied or endorsed by Intellectia.

18. LIMITATION OF LIABILITY

You acknowledge and agree that intellectia and its affiliates, subsidiaries, officers, directors, employees, agents, partners, and licensors shall not be liable to you for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data, cost of procurement of substitute goods or services, or other intangible losses (even if intellectia has been advised of the possibility of such damages), arising from:

The use or inability to use the service or the software or systems that make the services available;
Any changes made to the service, price, or any temporary or permanent cessation of the service or any part thereof;
The use, disclosure, or display of your user-generated content;
Unauthorized access to or alteration of your transmissions or data;
The deletion of, corruption of, or failure to store and/or send or receive your transmissions or data on or through the service;
Statements or conduct of any third party on the service;
And any other matter relating to the service.
