Civista Bancshares announced that Dennis Shaffer, President and CEO of Civista Bancshares, and CEO of Civista Bank, will retire effective August 28. At that time, Charles 'Chuck' Parcher, current President of Civista Bank, will assume the role of President and CEO of Civista Bancshares and Civista Bank. Shaffer will remain actively involved as Chairman of the Board and will continue serving on the Board of Directors to support a seamless leadership transition.

"Our fourth-quarter results cap a year of exceptional progress for Civista, with net income for the quarter increasing to $12.3 million from $9.9 million a year ago," said Dennis Shaffer, CEO and President of Civista. "For the full year, net income reached $46.2 million, compared with $31.7 million in the prior year, and earnings per share increasing to $2.64 from $2.01 last year, underscoring the continued strength of our franchise and our ability to execute effectively even in a shifting rate environment. These results reflect solid operating momentum, disciplined growth, and the increasing value we're driving across our markets."

Civista Bancshares announces that the Board of Directors has approved and declared a quarterly dividend of 18c per common share, representing a 1c increase from the prior quarter to shareholders of record as of February 10 payable on February 24. This dividend represents a payout of approximately $3.7M. Based on the Civista's closing stock price of $22.22 on December 31, 2025, the quarterly dividend produces an annualized yield of 3.24%.
