Rekor Systems announced the pricing of an underwritten registered direct offering of 8,571,428 units at a public offering price of $1.75 per unit, with each unit consisting of one share of common stock and a warrant to purchase one share of common stock at an exercise price of $2.40 per share. The warrants will be immediately exercisable and will expire seven years from the date of issuance. The shares of common stock and warrants comprising the units are immediately separable and will be issued separately. The offering is expected to close on or about December 16, 2025, subject to the satisfaction of customary closing conditions. The gross proceeds to Rekor from the offering are expected to be approximately $15M, before deducting underwriting discounts and commissions and other offering expenses payable by Rekor. Rekor intends to use the net proceeds from this offering for working capital, capital expenditures and general corporate purposes. The offering included participation from one institutional investor. William Blair is acting as the sole book-running manager for the offering.

Rekor Systems announced that it has developed a technology framework to protect personal privacy in connection with the use of vehicle recognition data, including data generated through automated license plate recognition, ALPR. "Our innovative and groundbreaking approach offers a transformative procedure for ALPR use," said Chris Kadoch, Chief Science Officer at Rekor Systems. "Public safety agencies and elected officials need to be able to ensure that they can reliably and efficiently enforce safeguards and limits on how and when personal data is accessed. Our approach provides built-in privacy protection while preserving the investigative capabilities agencies rely on."

Rekor Systems announced a new product aimed at combating the growing concerns caused by deepfake media. The technology will be housed in a new subsidiary called Rekor Labs and will operate separately from the Company's core roadway intelligence platforms. Product development began in 2023 as the company responded to government customer requests to verify federally mandated traffic data videos

Rekor Systems announced that South Carolina's Office of Information Technology, working in collaboration with the South Carolina State Transport Police and the South Carolina Department of Transportation, received first place in the State Technology Innovation Award for deploying "virtual weigh stations" powered by Rekor technology and integrated with Drakewell. Rekor will receive an initial order of approximately $1M related to this technology rollout, with more revenue expected as the program expands statewide.
