National Bank files automatic mixed securities shelf

Reports Q4 tangible book value per share $27.80. Reports Q4 CET1 capital ratio 14.89%. In announcing these results, CEO Tim Laney shared, "We delivered adjusted quarterly and annual earnings of $0.60 and $3.06 per diluted share, respectively, with a full year net interest margin of 3.94%. We generated meaningful capital growth in 2025 with a 10.0% increase in tangible common book value per share. The Federal Reserve Board announced its approval of the application by National Bank Holdings Corporation, of Greenwood Village, Colorado, to merge with Vista Bancshares, Inc., and thereby indirectly acquire Vista Bank, both of Dallas, Texas. The Board also gave its approval for NBH Bank, of Greenwood Village, Colorado, to merge with Vista Bank and to establish and operate branches at the locations of Vista Bank.
