Melar Acquisition Submits Registration Statement for Merger with Everli
Melar Acquisition Corp. I and Everli Global announced that Melar has confidentially submitted a draft registration statement on Form S-4 to the U.S. SEC in connection with the previously announced proposed business combination between Melar and Everli. The draft registration statement has been submitted on a confidential basis and has not yet been declared effective. The Form S-4 will include a proxy statement/prospectus providing important information about the Proposed Transaction. The Proposed Transaction, which was announced on July 31, 2025, is expected to result in Everli becoming a publicly traded company, subject to approval by Melar's shareholders and the satisfaction of other closing conditions. No assurances can be given that the Proposed Transaction will be consummated, or as to the timing or terms thereof.
