Fathom Holdings (FTHM) announced that it has entered into a definitive merger agreement to be acquired by Bed Bath & Beyond (BBBY) in an all-stock transaction. The transaction implies an equity value for Fathom of approximately $53.38M and reflects an exchange ratio of 0.2236 shares of Bed Bath & Beyond common stock for each Fathom share, subject to certain adjustments at closing of the transaction. The transaction is expected to close in the second half of 2026, subject to the satisfaction or waiver of customary closing conditions, including the approval of Fathom's stockholders, and the receipt of required regulatory approvals.
