Youxin Technology files $100M mixed securities shelf

Youxin Technology announced that the company entered into a definitive share acquisition agreement with seven shareholders of Yatop Group to acquire 18% of the equity interests in Yatop. Pursuant to the agreement, the company agrees to acquire 18% of the equity interests in Yatop in consideration of $10.8M, to be paid through a share exchange. The equity value of Yatop at an estimated $60.8M based on professional third-party valuation. Yatop's core operating entities, which are located in Hong Kong, commenced business in 2024. For the fiscal year ended December 31, 2025, Yatop recorded unaudited revenue of $6.5M with a net profit of $2M. Driven by its expanding global footprint, Yatop's revenue is projected to exceed $10M in 2026.

Youxin Technology completed a strategic acquisition of a real estate asset with a market value of $5.52M in the Hainan Free Trade Port. The acquisition represents an important step in the company's strategy to enhance its cross-border digital commerce capabilities and advance its expansion into international markets. Leveraging the policy advantages of the Hainan FTP to connect domestic and international markets, Youxin Technology intends to establish a central hub to deliver highly efficient and secure cross-border digital services for global retail enterprises. Leveraging Hainan FTP's international communications infrastructure and pilot policies that support cross-border data flows, Youxin Technology plans to build a multi-language, multi-currency cross-border platform designed to connect suppliers, distributors, and retail outlets across global markets in real time to reduce communication costs and improve response speeds. The company plans to contribute to upgrading cross-border data protection systems under Hainan FTP's regulations.

Youxin Technology announced that it has received approximately $4.48 million in gross proceeds from the exercise of warrants issued in the Company's September 2025 public offering. The exercises of warrants have resulted in the issuance of 1,752,134 Class A ordinary shares, adjusted retrospectively to reflect the Company's reverse stock split on September 30, 2025. Approximately 65% of the Series A Registered Common Warrants and 99% of the Series B Registered Common Warrants have now been exercised, leaving only 449,209 Series A Common Warrants and 534 Series B Common Warrants outstanding.
