Reports Q4 revenue $1.4B, consensus $1.45B. "Fourth quarter results fell short of our guidance as a result of softer than expected market conditions beginning in November, particularly for volume, reflecting a very truncated peak season," said Mark Rourke, President and Chief Executive Officer of Schneider. "There was strong improvement in late December reflecting a combination of weather disruption and some positive seasonality being met with thinner supply, a direct result of the accelerated capacity attrition seen in recent months. However, the strength exiting the year was not enough to offset the tempered demand that characterized much of the quarter, as well as spiking third-party carrier capacity costs, unplanned auto production shutdowns with certain customers, and heightened healthcare costs."

"We are focused on building on the progress we have made to date on driving growth through differentiation and maintaining operational and capital discipline. The results of these efforts will be more evident as demand improves," said Darrell Campbell, Executive Vice President and Chief Financial Officer of Schneider. "We will continue to grow specialty dedicated and intermodal volumes, especially in Mexico, and leverage our multi-modal platform to be nimble to evolving market conditions. Having achieved our 2025 cost savings target, we will look to make continued strides in 2026 with another $40 million in targeted cost savings. Our priority is to grow earnings by leveraging productivity and asset efficiency actions; improving our topline without incremental growth investments."

Schneider National announced a planned leadership transition designed to "ensure continuity and position the company for its next phase of growth." Mark Rourke, who has served as Schneider's President and Chief Executive Officer since 2019, will assume the role of Executive Chairman of the Board of Directors effective July 1, 2026. In conjunction with this change, the Board of Directors has appointed Jim Filter, currently Executive Vice President and Group President of Transportation and Logistics, Schneider's next President and Chief Executive Officer, effective July 1, 2026. Filter is expected to be appointed to Schneider's Board of Directors at a later date, following his transition to Chief Executive Officer.

Schneider National announced that its board of directors declared a quarterly cash dividend of 10c per share on its Class A and Class B common stock, a 5% increase over the previous quarterly dividend of 9.5c per share. The dividend is payable to shareholders of record as of March 13. The dividend is expected to be paid on April 8. The company's board of directors approved a new stock repurchase program, effective immediately, under which up to $150M of the company's outstanding Class A common stock, no par value, and/or Class B common stock, no par value, may be acquired over the next three years. The share repurchase program supersedes and replaces the $150M stock repurchase authorization approved by the board on January 31, 2023, which is scheduled to expire on January 31 and is substantially similar to the prior repurchase program. The company repurchased 4.4M shares for a total of $110.1M under the prior repurchase program.
