Nature's Miracle has entered into a Memorandum of Understanding, or MOU, with CCBP Holding to provide engineering, procurement, and construction, or EPC, services for a large-scale indoor cannabis cultivation facility in California City, California. The total estimated EPC contract value is approximately $150M. Once completed, the facility is expected to be among the largest indoor cannabis growing operations in California. The advanced cultivation platform is projected to achieve an estimated production cost of less than $200 per pound of cannabis. Nature's Miracle will serve as the primary EPC provider for the project, which is expected to be completed within 12 to 18 months.

Nature's Miracle announced it has entered into a formal Settlement Agreement and Mutual Release with Megaphoton. The agreement effectively resolves all outstanding legal disputes and trade payables between the two parties. Under the terms of the agreement, Nature's Miracle will issue 15M shares of common stock to Megaphoton at a valuation of 46c per share. This issuance serves as full consideration for the forgiveness of $6.9M in trade payables previously owed by Nature's Miracle's subsidiaries, Visiontech Group and Hydroman. Additionally, the company has agreed to reimburse Megaphoton $300,000 for legal costs. This strategic settlement results in a one-time gain of $6.9M and a corresponding increase in shareholder equity for the first quarter of 2026. The agreement brings a definitive end to the litigation process that began in 2022, when both companies filed complaints and cross-complaints against one another.

Datavault (DVLT) has entered into a definitive licensing agreement with Nature's Miracle (NMHI) under which Nature's Miracle will license Datavault's patented Carbon Credit Tokenization System, enabling it to develop, distribute, and commercialize blockchain-powered carbon credit solutions worldwide. The agreement grants Nature's Miracle global rights to integrate Datavault AI's proprietary intellectual property, including its issued and pending patents covering the secure tokenization of carbon credits on blockchain infrastructure, into its environmental technology platforms. As part of the deal, Datavault AI will receive a non-refundable license fee of $2M and a 35% ercent royalty on all gross revenue generated through the licensed technology. Nature's Miracle intends to integrate the licensed technology into its agricultural and environmental management platforms. The license is effective worldwide for the life of the patents at the agreed upon royalty rates.

Nature's Miracle announced that Big Lake Capital converted $678,290 into 3,425,706 NMHI shares at a conversion price of $0.1980 pursuant to the Convertible Promissory Note signed on April 11, 2025, between the company and Big Lake Capital. Following the conversion, no amounts are outstanding under the note. The company may borrow up to an additional amount of $1.342.428 under the note.
