"The fourth quarter of 2025 was another challenging period for West Fraser, marked by elevated softwood lumber duties and tariffs, southern yellow pine lumber and OSB oversupply, and tempered demand for many of our wood-based building products, much of which can be attributed to housing affordability constraints that have continued into early 2026. Notwithstanding this environment, we made great advances with some of our major capital investments that will improve both our cost profile and our operating flexibility, completing construction and starting-up our modernized lumber mill in Henderson, Texas, and effectively completing the ramp-up of our large-scale OSB mill in Allendale, South Carolina. We did have to make some difficult decisions late in the year with announced closures or curtailments of uneconomic lumber and OSB mills, but these decisions were made to size our portfolio to our customers' demand and with a view to make the Company stronger and better positioned for the future," said Sean McLaren, West Fraser's President and CEO. "We are steadfast in our strategy and will continue to take the necessary steps to ensure our operations remain safe places to work, flexible, and able to effectively serve our customers while controlling costs. We will continue to evaluate strategic investments and follow a balanced capital allocation strategy that allows us to grow while maintaining robust liquidity, increasing through-cycle resilience and creating long-term shareholder value."

NewMarket declared a quarterly dividend in the amount of $3.00 per share on the common stock of the corporation, an increase of 25c, or approximately 9%, over the current dividend. The dividend is payable January 2, 2026, to NewMarket shareholders of record at the close of business on December 15, 2025.

NewMarket announced its entry into a definitive purchase agreement to acquire Mars TopCo, the ultimate parent company of Calca Solutions. Calca is currently a portfolio company of AE Industrial Partners. The transaction is expected to close in 2025. The closing is conditioned upon the satisfaction or waiver of customary closing conditions, including clearance under the Hart-Scott-Rodino Antitrust Improvements Act of 1976. NewMarket expects to finance the acquisition with available cash and borrowings under its revolving credit facility.

The board of directors of NewMarket Corporation announced its approval of the capital investment by its subsidiary American Pacific Corporation of up to $100M to expand AMPAC's ammonium perchlorate production capabilities in support of growing solid rocket motor demand. This investment will allow AMPAC to construct an additional production line, increasing capacity by more than 50%. The increased capacity will allow AMPAC to meet the domestic demand of US military and space launch programs, while also addressing the needs of U.S. allies in these critical areas. The project is currently scheduled to be completed during 2026. Thomas E. Gottwald, NewMarket's Chairman and CEO, said: "We are excited about the opportunity to continue to invest in AMPAC. This investment assures capacity to meet our customers' growing needs while adding additional redundancy and security of supply into our production system.
