Guardforce AI has completed the acquisition of 100% of the issued share capital of MGAI, a Hong Kong-incorporated holding company. MGAI holds approximately 61.85% of the equity interest in Muyan Education, MGAI's principal operating entity. Through this acquisition, Guardforce AI secured indirect majority control of Muyan Education. MGAI deal in AI-driven solutions for speech therapy and rehabilitation, offering an ecosystem that integrates proprietary AI-supported software, cloud-based SaaS tools, professional training systems, and integrated hardware solutions. To date, its mainland China subsidiary, Muyan Education, has served over 110,000 patients and maintains a registry of more than 20,000 rehabilitation specialists. To capture growth in this sector, MGAI is targeting a revenue trajectory under an agreed performance framework as follows: 2026: $0.5M; 2027: $1M; 2028: $1.5M. The transaction consideration consists of cash and restricted ordinary shares of Guardforce AI, with a total purchase price of $300K in cash and 5 million restricted ordinary shares. The shares are subject to performance-based vesting tied to revenue milestones through 2028.

Guardforce AI announced the extension of its partnership to provide smart retail business solutions to the Thailand branch of a renowned global sportswear brand. Under the extended partnership, Guardforce AI acts as an important technology partner in the client's ongoing national renovation plan. The Company has received the first batch of requests to deploy its smart retail solutions at five additional retail locations in 2026, and one more installation scheduled for 2027. Previously, the Company deployed similar solutions at two of the brand's locations, and installed AI camera systems across 13 additional stores in 2025, following completion of a proof of concept in mid 2025.

Guardforce AI approved a Share Repurchase Program with authorization to purchase up to $5M of the Company's outstanding ordinary shares.

Guardforce AI entered into a non-binding Letter of Intent to acquire 100% of the issued and outstanding share capital of MGAI Limited, a pioneer in AI-driven solutions for speech therapy and development management and rehabilitation services. Utilizing advanced AI technology and one of China's largest domestic databases for children's language development assessment, MGAI has built a service ecosystem combining proprietary AI-supported software, cloud-based SaaS tools, professional training systems, and integrated hardware solutions. The platform supports a wide service network including patients, rehabilitation professionals, hospitals, rehabilitation institutions, and educational organizations. To date, MGAI's ecosystem has served more than 110,000 patients and has over 20,000 registered rehabilitation professionals. MGAI plans to expand beyond Mainland China through established distribution channels into Hong Kong, Singapore, and Taiwan. The LOI describes a share purchase transaction subject to the completion of due diligence, execution of a definitive purchase agreement, and satisfaction of customary closing conditions.
