Catalyst Bancorp, the parent company for Catalyst Bank, and Lakeside Bancshares, Inc., the parent company for Lakeside Bank, announced the signing of a definitive Agreement and Plan of Share Exchange and Merger under which Catalyst will acquire Lakeside in an all-cash transaction. The Merger Agreement also provides that Lakeside will be merged with and into Catalyst, with Catalyst surviving, and that Lakeside Bank will be merged with and into Catalyst Bank, with Catalyst Bank surviving. Once the transaction closes, Lakeside's shareholders will receive $19.58 per share in cash, or $41.1 million in aggregate, subject to adjustment under certain circumstances.

Catalyst Bancorp Inc trading halted, news pending

Catalyst Bancorp announced that the Board of Directors approved the company's sixth share repurchase plan. Under the November 2025 Repurchase Plan, the company may purchase up to 205,000 shares, or approximately 5%, of the company's outstanding common stock. Since the announcement of the company's first share repurchase plan in January 2023 and through November 18, 2025, the company has repurchased a total of 1,180,817 shares of its common stock, or approximately 22% of the common shares originally issued, at an average cost per share of $11.97.
