Better Choice Company announced the closing of its business combination with SRx Health Solutions and the closing of an $8.8M private placement with an institutional investor, for the purchase and sale of a combination of 4,036,697 shares of common stock and pre-funded warrants at a price of $2.18 per share for aggregate gross proceeds of $8.8M, before deducting offering expenses. Better Choice will issue 28.6M shares of common stock in connection with the closing of the business combination with SRx Health, pursuant to which the combined company will emerge as a leading global health and wellness company by providing better products and solutions for pets, people, and families. Additionally, Better Choice will change its legal name to "SRx Health Solutions Inc." and ticker symbol from "BTTR" to "SRXH", effective Wednesday, April 30, 2025.

Better Choice Company is canceling the previously declared stock dividend of 0.35 per share for every 1 share held of common stock, which was previously announced on April 7.

Better Choice Compan Board of Directors has approved a stock dividend of 0.35 per share for every 1 share held of common stock, and announced on April 8, 2025 that the payable date of the stock dividend had been changed from April 17, 2025 to April 21, 2025. As a result of ongoing consideration by the Board of Directors, the payable date for the stock dividend has been changed from April 21, 2025 to April 29, 2025. The record date for determining the stockholders entitled to receive the stock dividend has been changed from April 17, 2025 to April 28, 2025. The Company's shares will trade with a due bill on the stock dividend for trades beginning on April 28, 2025 up through and including April 29, 2025. The ex-dividend date will be April 30, 2025, the first business day following the payment date of April 29, 2025. Shareholders of record as of April 28, 2025 must hold their stock up through and including the April 29, 2025 to receive the stock dividend.
