Xiao-I plans to change the ratio of its American Depositary Shares, or ADSs, to its ordinary shares, par value 0.005c per share, from the current ADS Ratio of one ADS to one-third of an ordinary share to a new ADS Ratio of one ADS to 60 ordinary shares. For the company's ADS holders, the change in the ADS Ratio will have the same effect as a one-for-twenty reverse ADS split. The company anticipates that the change in the ADS Ratio will be effective on or about May 11. The exchange of every 20 then-held ADSs for one new ADS will occur automatically at the effective date, with the then-held ADSs being cancelled and new ADSs being issued by Citibank, N.A., the depositary bank. The company's ADSs will continue to be traded on the Nasdaq Stock Market under the symbol "AIXI." The change in the ADS Ratio will have no impact on the company's underlying ordinary shares. As a result of the change in the ADS Ratio, the ADS trading price is expected to increase proportionally.

Xiao-I (AIXI) provided an additional material update on its variable interest entity's, or VIE's, ongoing patent infringement lawsuit against Apple Computer Trading Shanghai, Apple (AAPL), and Apple Computer Trading Shanghai. The lawsuit centers on allegations that Apple infringed on the VIE's intellectual property rights related to core artificial intelligence technology, with the legal proceedings having advanced through key appellate stages since the Company's last update. On March 27, the Supreme People's Court rendered its final second-instance judgments on Apple's appeal. In the ruling, the Supreme People's Court formally rejected Apple's application to have Xiao-I's VIE's relevant patents declared invalid and affirmed the legality and validity of such patents in full. This judgment constitutes a final and binding ruling under the laws of the People's Republic of China, with no further right of appeal available to either party in respect of the patent validity determination. There can be no assurance as to the ultimate outcome of the remaining proceedings against Apple, there is no guarantee that the company will be awarded any financial compensation.

Xiao-I "announced that it has received two written notifications from the Listing Qualifications Department of The Nasdaq Stock Market LLC indicating that the Company is not in compliance with certain continued listing requirements for The Nasdaq Global Market. On December 16, 2025, the Company received a notice from Nasdaq stating that the Company does not currently satisfy the minimum bid price requirement set forth in Nasdaq Listing Rule 5450(a)(1), which requires a minimum closing bid price of $1.00 per share. The notice was based on the Company's American Depositary Shares having a closing bid price below $1.00 per share for 30 consecutive business days from November 3, 2025 through December 15, 2025."
