Senmiao Technology entered into a securities purchase agreement with certain accredited investors providing for the issuance of 1,350,000 shares of common stock, par value $0.0001 per share, and pre-funded warrants to purchase 905,000 shares of the Common Stock, at a purchase price of $1.26 per share, in a registered direct offering for aggregate gross proceeds of approximately $2.8M. Senmiao also agreed to issue to the Investors, in a separate private placement, warrants to purchase up to 4,510,000 shares of the Common Stock. The Warrants may be issued by the Company upon the receipt of the stockholder's approval and will have a term of five and a half years, exercisable immediately upon issuance at an exercise price of $1.26 per share. The closing of the sale of the Shares is expected to occur on or about November 17, 2025, subject to satisfaction of customary closing conditions. For the purpose of obtaining the Stockholder Approval, the Company shall hold a special meeting of the stockholders within 45 calendars days following the closing of sale of the Shares. Senmiao intends to use the net proceeds from the offering for general corporate purposes and working capital.

Senmiao Technology expects to implement a 1-for-10 reverse stock split on its common stock, par value $0.0001 per share effective Tuesday, July 29, 2025, with trading to begin on a split-adjusted basis at the market open on that day. Trading in the Common Stock will continue on the Nasdaq Stock Market under the symbol "AIHS". The new CUSIP number for the Common Stock following the Reverse Stock Split is 817225303. The Reverse Stock Split at a ratio of 1-for-10 was approved by the Company's Board of Directors.

Senmiao Technology announced that it has signed a strategic cooperation agreement with Changsha Yipeng Information Technology to jointly develop an AI-backed data management system aiming to improve efficiency of online ride-hailing management platforms. Pursuant to the Agreement, Changsha Yipeng will utilize Senmiao's data from its historical operating information, to develop an AI-backed data management system to facilitate the collection and analysis of data and ultimately provide online ride-hailing service providers with efficient and safe ways to operate their service vehicles. Along with the development of the project,, both parties will jointly seek necessary financing for its full development and deployment.

Senmiao Technology has signed a strategic cooperation agreement with Qinhong International Group. Since its incorporation in 2013, Qinhong has provided financing facilitation support, financial services referral and loan consulting services, primarily to small and medium-sized enterprises and other financial institutions in Southwest China. Pursuant to the Agreement, leveraging both companies' existing business relationships and customer resources, Senmiao will have the opportunity to participate in Qinhong's business across China. Furthermore, Qinhong, relying on its extensive relationships with banks and other financial institutions, will assist Senmiao in securing financing to fund its business plan, when needed.
