Twelve Seas Investment Company III Prices IPO at $10.00 per Unit
Twelve Seas Investment Company III priced its initial public offering of 15M units at a price of $10.00 per unit. The units will be listed on the Nasdaq Global Market under the symbol "TWLVU". Each unit issued in the offering consists of one Class A ordinary share of the company and one right to receive one tenth of a Class A ordinary share upon the consummation of the company's initial business combination. Once the securities comprising the units begin separate trading, the Class A ordinary shares and rights are expected to be listed on NASDAQ under the symbols "TWLV" and "TWLVR," respectively. The blank check company formed for the purpose of effecting a merger, share exchange, asset acquisition, share purchase, reorganization or similar business combination with one or more businesses may pursue an initial business combination target in any industry or geographical location, but intends to focus its search on global companies located outside the United States, with an emphasis on established profitable enterprises in oil and gas and other sectors which it believes are proven. The company will also consider prospective targets located in the United States, but which are owned by non-U.S. shareholders, including sovereign wealth funds, family offices, international entrepreneurs or global industrial conglomerates. Cohen & Company Capital Markets acted as the sole book-running manager for the offering.
