Vivakor announced that its commodities trading platform, Vivakor Supply & Trading, has executed a recurring crude oil transaction, extending through May 2027. The transaction represents approximately $6M in crude oil volume per month, or approximately $72M over twelve-month term, and includes associated transportation services. The arrangement reflects continued execution of Vivakor's integrated platform strategy, facilitating the movement of volumes across its network while supporting commercial activity across its logistics and infrastructure operations.

Olenox Industries (OLOX) has amended its Letter of Intent with Vivakor (VIVK), to acquire the midstream business and transportation assets of its wholly owned subsidiary CPE Gathering MidCon, owner and operator of the Omega pipeline system, an integrated crude-oil gathering, transportation, terminaling and pipeline connection platform serving the Oklahoma STACK play. As mentioned in the Company's prior release of January 29, the parties targeted a closing date on or before March 31. In furtherance of continual diligence and in light of the respective companies audit requirements, the parties have revised the projected closing date to April 30, but in no event later than May 15. CPE Gathering operates the Omega system, an on-basin midstream platform that provides crude gathering, transportation, terminaling and pipeline connectivity in the STACK region of Oklahoma. Omega is positioned to generate fee-based cash flows, reduce hauling and terminaling costs for producers, and provide a scalable on-ramp for technology and services that improve uptime and lower operating expenses. The transportation assets also offer producers flexible, cost-competitive gathering and transport to a network of storage and blending facilities and pipeline injection points. The transaction, valued at approximately $36M, will be paid in a combination of cash, promissory note, common and preferred stock, and is based on $4.56M in annual EBITDA, pursuant to a take-or-pay guarantee of Vivakor.

Vivakor entered into forbearance agreements with eight investors holding the Company's convertible promissory notes, extending maturities until 2027 and revising payment terms as part of its ongoing efforts to address its capital structure and support compliance with Nasdaq listing standards. Under the terms of the agreements, the noteholders have agreed to forbear from exercising default remedies, subject to Vivakor's compliance with amended terms. The agreements extend the maturity of the notes to January 2027 and establish revised payment schedules requiring scheduled cash payments through maturity. Conversions under the notes are limited unless the Company fails to make the agreed payments or does not get relisted on Nasdaq by February 28, 2026. This deadline may be extended if the Company has applied for a reverse stock split and is awaiting regulatory approval necessary to complete the split. As a result of the amended terms, the agreements reduce near-term maturity and conversion pressure while the Company works to complete the steps required to regain compliance with Nasdaq listing standards. The Company entered into the agreements as part of its ongoing efforts to address its capital structure, preserve liquidity, and support compliance with Nasdaq listing standards, while it continues to evaluate strategic, operational, and financial alternatives to enhance long-term value.
