Volato (SOAR) announced that it has entered into an amendment to its aircraft management services agreement with flyExclusive (FLYX) providing for the sale of certain legacy intellectual property assets. The agreement provides for consideration valued at approximately $1.3M, payable in flyExclusive Class A common stock, subject to customary conditions. The assets relate to legacy intellectual property developed during earlier stages of the company's technology initiatives and are not part of Volato's current operating platforms. Volato continues to evaluate opportunities to streamline its asset base and focus resources on strategic priorities, including the continued development of its core software platforms and the pending business combination with M2i Global, Inc.

M2i Global (MTWO) along with Volato Group (SOAR) announce that it has entered into a Strategic Collaboration Agreement with SMX PLC (SMX). The Collaboration Agreement establishes a structured collaboration between the parties to support a pilot initiative involving the application of physical and digital shipment-assurance technologies and digital traceability, custody, and commercialization workflows via the M2i CAINO digital backbone and the M2i Metals Marketplace. The intent is to focus on enabling a new standard for trusted critical mineral commerce, connecting physical shipment assurance to evidence-backed digital custody records and authenticated marketplace transactions.

M2i Global (MTWO), along with Volato Group (SOAR), announces that Nimy Resources has initiated its first shipment of high-grade gallium from Western Australia to the U.S. under its collaboration agreement. This first shipment of gallium ore from Nimy will be distributed to selected academic institutions and a defense industrial base company to allow them to analyze the material to determine the refining processes required to produce the desired product for their needs. Nimy Resources Managing Director Luke Hampson, stated, "We are delighted to announce the first shipment of gallium ore from our Mons Project to the United States under our collaboration with M2i Global. The milestone validates the high-grade potential of our Block 3 discovery and marks the key step toward establishing a secure, non-Chinese source of this critical mineral for Western supply chain."

Volato Group (SOAR) and M2i Global (MTWO) reaffirmed their expectation to complete their targeted first-quarter 2026 closing timeline for the previously announced business combination, citing steady advancement through the SEC review process alongside continued progress in operational planning and integration readiness. Subject to the effectiveness of the registration statement on Form S-4, stockholder approvals, and other customary closing conditions, the companies continue to expect the merger to close in the first quarter of 2026. To align the transaction timeline with the current stage of the SEC review process, the companies have mutually agreed to extend the end date of the merger agreement through March 31, 2026. This extension reflects disciplined execution and provides additional runway to complete the remaining regulatory steps in an orderly manner, while maintaining transaction commitment and protecting stockholder interests. Amendment No. 1 to the Form S-4 was filed on Monday, January 12, 2026, to respond to SEC comments and advance the registration statement through the review process. The review timeline was affected in part by a temporary slowdown in SEC operations following the recent federal government shutdown. With the amendment now on file, the companies are focused on completing the remaining steps of the SEC review process.
