Skycorp Solar announced its board of directors has approved the adoption of a Share Repurchase Programme, under which the Company plans to repurchase its ordinary shares for a maximum total consideration of up to $2,000,000. The purpose of the Programme is to optimize the Company's capital structure, enhance earnings per share, and create long-term value for shareholders.

Skycorp Solar announced that the company received a notice from Nasdaq, stating that the company's Class A ordinary shares, par value $0.0001 per share, fail to comply with the $1.00 minimum bid price requirement for continued listing on Nasdaq in accordance with Nasdaq Listing Rule 5550 based upon the closing bid price of the Class A Ordinary Shares for the 30 consecutive business days prior to the date of the notice.

Skycorp Solar announced that it has entered into a definitive agreement to acquire an equity interest of 24% in Nanjing Cesun Power from Skyline Tech for a total consideration of approximately $8.7M. Under the terms of the agreement, the company will satisfy the purchase consideration through issuance of additional 12,000,000 Class B ordinary shares of the company to Skyline. The newly issued shares will be subject to a lock-up period of five years. As of the date of this 6-K, Skyline holds 13,025,000 class B ordinary shares of the company, representing 97% of the votes of the company. As a related party transaction, the transaction was approved by the company's board of directors and audit committee on October 12. The closing of the transaction is expected to occur on or before December 20 and is subject to customary closing conditions.

Skycorp Solar Group announced the results of an extraordinary general meeting held at Room 303, Block B, No.188 Jinghua Road, Yinzhou District, Ningbo City, Zhejiang Province, China 315048 on October 10, 2025 at 10:00 a.m., Beijing/Hong Kong Time. At the EGM, shareholders of the Company passed the following resolution: that conditional upon the approval of the board of directors of the Company in its sole discretion, with effect as of the date within three calendar years after the conclusion of the EGM as the Board may determine: the authorised, issued, and outstanding shares of the Company be consolidated by consolidating each 100 Shares of the Company, or such lesser whole share amount as the Board of Directors may determine in its sole discretion, such amount not to be less than 10, into 1 Share of the Company, with such consolidated Shares having the same rights and being subject to the same restrictions as the existing Shares of such class as set out in the Company's memorandum and articles of association: no fractional Shares be issued in connection with the Share Consolidation and, in the event that a shareholder would otherwise be entitled to receive a fractional Share upon the Share Consolidation, the total number of Shares to be received by such shareholder be rounded up to the next whole Share; and any change to the Company's authorised share capital in connection with, and as necessary to effect, the Share Consolidation be and is hereby approved, such amendment to be determined by the Board in its sole discretion; that any one director or officer of the Company be and is hereby authorised, for and on behalf of the Company, to do all such other acts or things necessary or desirable to implement, carry out and give effect to the Share Consolidation, if and when deemed advisable by the Board in its sole discretion; and that subject to and immediately following the Share Consolidation being effected, the Company adopt an amended and restated memorandum and articles of association in substitution for, and to the exclusion of, the Company's then existing memorandum and articles of association, to reflect the Share Consolidation.
