Heidmar Maritime Holdings announced the appointment of Mr. Jagmeet Makkar as Independent Non-executive Director effective as of February 16, 2025. Mr. Makkar brings over 40 years of distinguished experience in shipping operations, commercial management, and risk management. He will also serve as a member of the Company's Audit Committee. In addition to his extensive background, Mr. Makkar has been a faculty member and mentor at leading maritime institutions worldwide, contributing extensively to executive education and professional training programs. Mr. Makkar meets the independence requirements under the Nasdaq listing standards and SEC rules. There are no arrangements or understandings between Mr. Makkar and any other person pursuant to which he was selected as a director.

Heidmar Maritime announced that the memorandum of agreement announced in respect of the acquisition of C/V A. Obelix, has been mutually terminated in accordance with the terms therein. The deposit paid has been returned to the company, and there is no financial impact to the Company.

Heidmar Maritime Holdings is further expanding its managed fleet through a series of recent vessel additions, reflecting shipowners' increasing preference to leverage Heidmar's commercial and technical expertise. The recent fleet additions include: One Super Eco LR2 Newbuilding: A state-of-the-art, super eco LR2 tanker built at a leading Vietnamese shipyard, which joined Heidmar's fleet under commercial management in mid-November 2025. Two Super Eco MR Newbuildings on Time Charter: State-of-the-art, super eco MR tankers built at a leading Korean shipyard are expected to join Heidmar's fleet under time charter agreements. The two ships will also be managed by Heidmar under technical management. Both vessels deliver in February 2026. Two MR Tankers: Scheduled to enter Heidmar's fleet under commercial management during the first quarter of 2026.

Heidmar Maritime continues to strengthen its market position by adding super-eco vessels to its managed fleet under commercial and technical management agreements. One Super Eco LR2 newbuilding is scheduled to join Heidmar's fleet under full technical and commercial management in December 2025. This is the sister vessel to the LR2 previously announced and scheduled for delivery by the end of November. Pankaj Khanna, the Company's Chief Executive Officer, stated: "The owners' decision to entrust Heidmar with a second vessel under its management demonstrates their trust in our capabilities, as we steadily execute a disciplined strategy that boosts fleet efficiency and seizes opportunities in rapidly evolving markets."
