The Financial Times reported that Fortune Brands has agreed to launch a new CEO search, replacing prior plans for Amit Banati to assume the role, and to add activist investor Ed Garden to its board in order to avoid a potential proxy fight, RBC Capital tells investors in a research note. Garden's involvement appears headed toward a settlement, which would be a net positive if constructive, though the ultimate impact will depend on CEO selection, strategic direction, and execution, all of which will take time to play out, RBC Capital says. The firm has an Outperform rating and $61 price target on the shares.

The maker of Yale and Master Lock padlocks is set to replace its incoming chief executive before his first day in the job as part of a detente with an activist hedge fund set up by a Trian co-founder, Financial Times' Oliver Barnes reports. In order to stave off a proxy fight with activist investor Ed Garden, Fortune Brands Innovation has committed to rerun its CEO search as well as adding Garden to its board of directors, according to people familiar with the matter.
