The deal priced below last closing price of $14.73. Citi is acting as sole book running manager for the offering.

Diversified Energy Company announced the launch of an underwritten public offering by certain funds or entities managed by an affiliate of EIG of 7.5M shares of Diversified's common stock, which represents all remaining holdings of the selling stockholder. Diversified has indicated an interest to purchase from the underwriter up to 3.9M shares of common stock at a price per share equal to the price per share paid by the underwriter to the selling stockholder in the secondary offering. Diversified is not offering any shares of common stock in the secondary offering and will not receive any proceeds from the sale of shares of common stock in the secondary offering. Citigroup is acting as the sole bookrunning manager for the proposed offering.
