Celularity and Fountain Life announced the availability of cenplacel-L, a placental-derived allogeneic investigational cell therapy, for investigational use by licensed physicians in the State of Florida under recently enacted legislation supporting responsible use of regenerative medicine.The company said, "This milestone marks the establishment of one of the first state-level frameworks in the United States enabling the physician-directed use of allogeneic cellular therapies outside of traditional federal approval pathways, creating a potential model for broader market expansion. NexGel (NXGL) announced the appointment of Ian Blackman as CFO. Blackman will help to advance the closing of the definitive agreement to license and acquire a portfolio of commercial-stage regenerative biomaterial products from Celularity (CELU). Most recently, Blackman served as CFO of McIntosh Group.

NexGel (NXGL) announced the closing of its previously announced license and acquisition of a portfolio of commercial-stage regenerative biomaterials products from Celularity (CELU), a regenerative and cellular medicine company. The Company has also launched BioNX Surgical, a new division of NEXGEL. The closing of this transaction will be financed under new terms and led by a $5.5 million strategic investment from Sequence LifeScience, a leader in regenerative medicine manufacturing. The transaction was financed through a convertible note with $0.60 conversion price and 50% warrant coverage with a strike price of $0.80.

Celularity announced the closing of its previously announced transaction with NexGel, pursuant to which NexGel acquired certain commercial and other assets related to Celularity's biomaterials product portfolio and received an exclusive license to develop and commercialize specified products. The transaction is intended to monetize Celularity's biomaterials portfolio while enabling it to further concentrate resources on advancing its longevity-focused therapeutic pipeline and scalable manufacturing platform. Under the terms of the transaction, Celularity received aggregate consideration of $13.3 million, consisting of $8.3 million in cash at closing and a $5.0 million convertible promissory note from NexGel. In addition, Celularity remains eligible to receive up to $20.0 million in future milestone payments based on net sales thresholds, and royalties on net sales of certain development-stage products, in each case subject to the terms of the transaction documents. The transaction also enabled Celularity to retire nearly $13.0 million of debt, strengthening Celularity's balance sheet and capital position while preserving future economic participation in certain licensed development-stage programs.
