Boqii Holding Ltd. announced that it has entered into a definitive agreement with certain investors for the purchase and sale of an aggregate of 1,500,000 of the Company's Class A ordinary share, par value 16c per share at a purchase price of $2.80 per share in a registered direct offering. The purchase price for the pre-funded warrants is identical to the purchase price for Shares, less the exercise price of 16c per share. The aggregate gross proceeds to the company of this offering are expected to be approximately $4.2M. The transaction is expected to close on or about November 4th, 2025, subject to the satisfaction of customary closing conditions. Univest Securities, LLC is acting as the sole placement agent.

As Boqii Holding previously announced, the Company ceased the listing of the American Depositary Shares representing its Class A ordinary shares of par value US$0.001 each on the NYSE American and listed its Class A ordinary shares of a par value of US$0.16 each on a post-reverse stock split basis for trading on AMEX in substitution for the ADS, effective on July 11, 2025 .

Boqii Holding announced that it will change its ratio of its American Depositary Shares to Class A ordinary shares from one ADS representing fifteen Class A ordinary shares to one ADS representing one hundred and fifty Class A ordinary shares. The ADS Ratio Change is expected to become effective on or about January 21. For Boqii's ADS holders, the ADS Ratio Change will have the same effect as a 1-for-10 reverse split on the existing ADSs. Each ADS holder on the ADS Ratio Change Effective Date will be required on mandatory basis to surrender to The Bank of New York Mellon, as depositary, for Boqii's ADS program, every 10 old ADSs held in exchange for one new ADSs. No action is required by holders of uncertificated ADSs to effect the ADS Ratio Change as the change will be effected on the books of the Depositary.
