Auddia announced that LT350 has signed a non-binding Letter of Intent with a NYSE listed medical REIT to host LT350's first pilot installation expected to be at a hospital property in the Dallas Fort Worth MSA. The Medical REIT owns and manages approximately 200 medical facilities across the United States, including hospitals, ambulatory surgery centers, and medical office buildings. LT350 is one of three new businesses that will be combined with Auddia in the new McCarthy Finney holding company if Auddia's recently announced business combination with Thramann Holdings is completed. The LOI outlines the parties' intent to collaborate on deploying LT350's first solar-integrated, parking-lot-based AI micro-datacenter canopy. LT350's patented architecture integrates modular GPU, memory, and battery storage cartridges directly into the ceiling of its proprietary solar canopy, enabling high-performance AI compute to be deployed above existing parking lots without absorbing parking spaces or requiring new land acquisition. The LOI is non-binding and does not obligate either party to proceed with the pilot.

Auddia announced initial performance results from the first 30 days of Discovr Radio's MVP offering and the corresponding engagement within the faidr app. Following the official launch of Discovr Radio on January 20, the Company began a limited MVP phase designed to measure listener engagement, validate performance metrics, and refine campaign optimization tools. During the first 30 days, a select group of live tracks generated engagement levels that significantly exceeded the Company's original projections. Averaged across participating artists, the MVP results delivered: More than 500 plays per artist per month; More than 20 external link clicks per artist; Among the early adopter group, the first 15 artists to join the Discovr Radio platform, faidr listeners have already provided 491 profile views, and 319 outbound link clicks - demonstrating that listeners are not only streaming Discovr-powered tracks, but actively engaging with artists beyond passive listening. The average clickthrough rate for any Discovr artist's profile is 60%, exceeding the Company's phase 1 goal for profile clickthrough of ~20%. Discovr Radio is monetized by artists paying a subscription to guarantee their music is heard by listeners of mainstream radio stations. The Company believes early metrics support the value artists and labels expect to receive through their Discovr Radio subscription. The Company plans to continue refining its AI-driven placement capabilities, reporting tools, and artist onboarding processes as it transitions from MVP validation to broader commercial expansion. As faidr's user base grows, Discovr Radio is designed to scale accordingly.

Auddia announced that in a follow up to the business combination LOI previously announced in August 2025, the Company's board, acting upon the recommendation of its special committee of independent directors, has approved a definitive merger agreement for a business combination between Auddia and Thramann Holdings. Thramann Holdings is a privately held holding company that controls LT350, Influence Healthcare, and Voyex, three early stage AI-native companies founded by Jeff Thramann. Upon closing of the transaction, Auddia will be renamed McCarthy Finney and trade under its new MCFN ticker. Auddia will become a fully owned subsidiary and each of the three Thramann Holdings entities will also be fully owned by McCarthy Finney. Jeff Thramann will remain as CEO of McCarthy Finney and John Mahoney will remain as CFO. Auddia's current board members are expected to continue as members of the board of the combined company. Auddia shareholders are expected to own 20% of McCarthy Finney at closing with 80% of the combined company expected to be owned at closing by Jeff Thramann. The closing of the merger will be conditioned on Auddia having at least $12M cash on hand at closing in order to provide cash runway to fund McCarthy Finney to key future business milestones. Based on a discounted cash flow analysis of McCarthy Finney's forward looking 10-year pro forma completed by management, the Company estimates the base case valuation of McCarthy Finney to be $250M. Financial statements and other detailed financial disclosures about McCarthy Finney and its portfolio companies will be included in the relevant materials that Auddia intends to file with the SEC, including a registration statement on Form S-4.

Auddia announced the official product launch of Discovr Radio, its AI-powered artist and label promotion platform. Discovr Radio will officially go live on January 20, beginning with an initial pilot group of approximately 300 customers. Following launch, the company plans to onboard additional customers on a weekly basis, with expansion paced by overall user growth across Auddia's flagship faidr app. Discovr Radio introduces a new model for music discovery in radio streaming by allowing artists and labels to insert music directly into AM/FM streaming feeds during traditional ad slots. Powered by Auddia's proprietary AI Placement Engine, the platform intelligently matches songs to listeners based on contextual, behavioral, and listening data, delivering guaranteed plays while preserving a seamless listener experience.
