Petros Pharmaceuticals announces the strategic deconsolidation of its wholly owned subsidiary, Metuchen Pharmaceuticals, including its wholly owned subsidiaries, Timm Medical Technologies, Inc. and Pos-T-Vac, from its consolidated balance sheet, effective beginning in its Quarterly Report on Form 10-Q for the quarter ending June 30, 2025. This move is expected to significantly improve Petros' financial position, increasing stockholders' equity and materially reducing consolidated debt. The deconsolidation of Metuchen is part of a broader corporate realignment strategy aimed at streamlining operations and enhancing financial flexibility. Following the deconsolidation, Petros anticipates a strengthened balance sheet that will enable the company to meet the minimum stockholders' equity requirement for listing on the Nasdaq Capital Market. Petros is currently in the process of appealing Nasdaq's recent decision to delist its common stock. The Company believes that the deconsolidation, coupled with other internal initiatives, demonstrates substantial progress toward regaining compliance.

Petros Pharmaceuticals has received a staff determination letter from the Nasdaq Stock Market, informing the Company that Nasdaq determined to suspend trading and delist the Company's common stock from Nasdaq. At the open of trading on Thursday, May 22, 2025, Petros' securities will be suspended on Nasdaq and are expected to begin trading on the OTC Markets under the ticker "PTPI".

Petros Pharmaceuticals announces its partnership with Innolitics. The collaboration is intended to integrate many of the Company's emerging capabilities in the ongoing development of its SaaS platform designed to complement its proprietary web application. Utilizing the same knowledge management system as multiple Fortune 100 companies and having developed software for more than 70 medical devices, Innolitics is expected to be integrating many of the Company's recently announced cloud-based components. These enhancements include AI, cybersecurity, and others to provide potential prescription treatments and pharmaceutical sponsors with a commercially viable and enterprise scaled platform.

Petros Pharmaceuticals has implemented multiple enhancements to its developing AI platform, which is expected to improve processing and fraud detection and provide a better overall experience. The AI Platform is expected to be a key component of the Company's recently announced SaaS-based technology, integrating Petros' Software as a Medical Device proprietary solution, which is being designed to help facilitate expanding access for established prescription drugs by bringing them over the counter. The enhancements include: Addition of Deep Fake detection and mitigation features; Improved facial and ID recognition and matching capabilities; Enhanced image auto capture feature powered by machine learning technology.
