Securities Purchase Agreement: SOS has entered into a securities purchase agreement with institutional investors for the sale of 2,142,855 American Depositary Shares (ADS) at an effective offering price of $3.50 each.
Private Placement Warrants: In addition, SOS will issue unregistered warrants to purchase up to 4,285,710 ADSs, which are immediately exercisable and will expire in five and a half years, also priced at $3.50 per share.
