Digital Currency X to Consolidate Shares at 12-for-1

Digital Currency X approved on December 24, 2025 that the authorised, issued, and outstanding shares of the company be consolidated on a 12 for 1 ratio with the marketplace effective date of January 22, 2026. The objective of the share consolidation is to enable the company to regain compliance with Nasdaq Marketplace Rule 5550(a) and maintain its listing on Nasdaq. Beginning with the opening of trading on January 22, the company's Class A ordinary shares will trade on the Nasdaq Capital Market on a split-adjusted basis, under the same symbol "DCX" but under a new CUSIP number, G4465R137. As a result of the share consolidation, each 12 ordinary shares outstanding will automatically combine and convert to one issued and outstanding ordinary share without any action on the part of the shareholders. After the share consolidation, the company's authorised share capital will be changed from 10B shares of a par value of 30c each, comprising 9,982,000,000 Class A ordinary shares of a par value of 30c each and 18,000,000 Class B ordinary shares of a par value of 30c each, to $3B divided into 833,333,333. 33 shares of a par value of $3.60 each.
