Beyond Air Enters Agreement to Issue 3,930,818 Shares with Institutional Investor
Beyond Air entered into a securities purchase agreement with an institutional investor to issue and sell, in a private placement priced at-the-market under Nasdaq rules, 3,930,818 shares of common stock, and warrants to purchase up to an aggregate of 3,930,818 shares of common stock, at a combined purchase price of $1.272 per share of common stock and associated warrant, for expected gross proceeds of approximately $5M, before deducting placement agent fees and other offering expenses payable by the Company. The warrants will have an exercise price of $1.147 per share of common stock and will be exercisable immediately upon issuance with a term of five years following the date of issuance. Rodman & Renshaw is acting as the exclusive placement agent for the private placement. Roth Capital Partners and D. Boral Capital are acting as financial advisors to the Company for the private placement. The closing of the private placement is expected to occur on or about January 16, subject to the satisfaction of customary closing conditions.
