Aker Horizons Share Distribution and Merger Announcement
Dividend Distribution: Aker Horizons ASA has announced the successful completion of conditions for distributing shares in Aker Horizons Holding AS (AKHH) as a dividend in-kind to its shareholders. This distribution is part of a planned merger with AKH HoldCo AS, a wholly owned subsidiary of Aker ASA.
Merger Consideration: Shareholders of Aker Horizons (excluding AKH HoldCo AS) will receive a merger consideration of NOK 0.267963 in cash and 0.001898 shares in Aker ASA for each share they own in Aker Horizons.
Insider Share Allocations
- Primary Insiders' Shares: Key insiders and their close associates will receive Consideration Shares as part of the merger. Notable allocations include:
- Erøy AS (associated with Øyvind Eriksen, CEO) will receive 542 shares.
